Terms of Service

Last updated 1 November 2026

These Terms cover your use of Wealthnow, operated by Tengu LLC, including the website, the app, the API, and every feature inside them. We have tried to keep the language plain. If something below is unclear, write to support@wealthnow.io and we will explain it.

What changed on 1 November 2026

  • We no longer promise to email you about every change to these Terms. We tell you in the app. Before, these Terms said by email and in the app.
  • If you cancel a marketplace subscription billed by card, it now stays active until the end of the period you paid for, then ends, and you are not charged again. Before, it ended immediately. A free follow, or a subscription whose last payment did not go through, still ends when you cancel it, and the unpaid amount is not charged.

What changed on 27 September 2026

  • We removed the statement that the Service gives no investment advice and creates no fiduciary relationship. We now state our registration status and describe what the personalized features do.
  • We removed the “as is” disclaimer, every limit on our liability (including the $100 cap), and your promise to indemnify us.
  • We added that nothing in these Terms, or in any document they incorporate, waives or limits your rights under the federal securities laws or any state law.
  • Changes to these Terms no longer take effect simply by being posted. We now notify you, list each change here, and ask for your acceptance in the app before any change that reduces your rights or raises your fees.
  • We will not assign these Terms without your consent. Before, we could assign them in a merger or sale.
  • We removed the permission for us to act on strategy signals, and the statement about sharing revenue with strategy authors.
  • We now say who collects fees today (AMP FUEL LLC, through Stripe) and that billing is moving to Tengu LLC, describe prepaid usage credits, and say that marketplace subscriptions end immediately when cancelled.
  • We corrected which connections can send orders and which only read, and described what happens to stored keys and tokens when you disconnect.

Earlier versions are kept, and we will send you a copy on request: support@wealthnow.io.

01About these Terms

These Terms of Service (“Terms”) are an agreement between you and Tengu LLC, the company that operates Wealthnow (“Wealthnow”, “we”, “us”, “our”). They cover your use of wealthnow.io, the Wealthnow app, the Wealthnow API, and every related feature (together, the “Service”). They incorporate our Privacy Policy, Cookie Policy, and Disclosures; please read them together. If you do not agree to these Terms, do not use the Service.

If you sign a separate investment advisory agreement with us, that agreement controls for the services it covers wherever it conflicts with these Terms.

You must be at least 18 years old, or the age of majority in your state if that is higher, and able to form a binding contract. The features that use your connected accounts and investor profile are designed for an individual using that individual’s own accounts. If you use the API on behalf of an organization, you confirm that you are authorized to accept these Terms for it.

02What the Service is

Wealthnow is software. It shows the accounts you connect in one place, answers your questions through Alfred, our AI assistant, provides research, and, where your broker supports it, sends orders you approve to your own brokerage account.

Tengu LLC is not a broker-dealer, a member of FINRA or SIPC, a custodian, a bank, or a lender. We do not hold your money or securities; they stay at the brokerage or exchange where you hold them. We do not give tax, legal, or accounting advice. Words such as “portfolio,” “strategy,” or “fund” in the app do not mean that we operate an investment fund or hold assets for you.

03Our regulatory status and what the personalized features do

Status. Tengu LLC is not currently registered as an investment adviser with the SEC or any state. Tengu LLC intends to apply for registration as an investment adviser. Neither applying nor being registered would mean that the SEC or any state has approved Tengu LLC or its services, or that Tengu LLC has any particular level of skill or training. When our status changes, we will update these Terms and notify you as described under “Changes to the Service and to these Terms.”

How the personalized features work. Until then, this section describes what those features actually do. They are not general information: they are tailored to the information you give us and the accounts you connect.

  • Alfred, the assistant, reads the holdings, balances, and other data from the accounts you connect, and the investor profile you complete (for example, your goals, time horizon, and risk tolerance). Its answers can include views on specific securities and on your portfolio, including suggestions to buy, sell, or change how much you hold.
  • Until you complete and confirm your investor profile, the assistant’s answers are research only: it does not size new positions or suggest an allocation for you, and it asks you for the missing information instead of assuming it. An order that only reduces a position you already hold, such as a sale or a stop-loss, is not held back. If you change a confirmed answer, the same applies until you confirm your profile again.
  • Some features can prepare a proposed order for a connected account. We send an order to your broker only after you approve that specific order.
  • Some answers, scores, and rankings rely on our quantitative research models. In our own measurements to date, those models have not shown a measurable ability to predict returns. Our Disclosures explain this.

You decide whether to act on anything the Service shows you. Nothing in these Terms, or in any document they incorporate, waives or limits any right you have under the federal securities laws or any state law, or any duty we owe you under those laws.

04Connected accounts and orders

You connect an account by signing in on your broker’s or a connection service’s own screen (such as Plaid or SnapTrade), or by creating an API key at your broker and entering it in the Service. Some connections, such as those through Plaid, only let us read account data. Others also let us send the orders you approve, and the app shows which ones can. We ask only for trading access where a broker offers it. Some brokers, such as Alpaca, do not offer a trade-only key. We never use any connection to move money.

We only read your Kalshi account, and we accept only a read-only key. Revoke it at Kalshi when you disconnect.

You can disconnect in the app, or revoke our access at your broker, at any time. Disconnecting in the app stops our use of the connection. For a Plaid connection, it also removes the connection at Plaid. It does not delete the API keys you entered, or the sign-in tokens from Robinhood, E*TRADE, and Interactive Brokers, which stay encrypted in our database and are not revoked at the broker; revoke those at your broker to end access completely. Our Privacy Policy explains.

When you approve an order, we send it to your broker. Your broker applies its own rules, executes or rejects the order, and holds the resulting position. Before an order leaves our system it passes one order gate, which checks our kill switch, requires your approval, refuses a sell larger than your position, and refuses duplicates. These checks do not replace the protections your broker provides.

Balances, quotes, and fills shown in the Service can lag or differ from your broker’s records. Your broker’s statements are the official record of your account. Tax, settlement, margin, options approval, and account-eligibility decisions are made by your broker.

05Alfred, the AI assistant

Alfred is an AI and can make mistakes. Verify important info.

The assistant runs on large language models from third-party providers, which our Privacy Policy lists. To answer you, we may send your messages to those providers together with relevant information from your investor profile and connected accounts.

AI output can be wrong, incomplete, or out of date, and it can state an error with confidence. Check important numbers, identifiers, dates, and facts against your broker’s records and other primary sources before you act. Scores, rankings, backtests, and simulated results in the Service are hypothetical or model-based and do not predict future results.

06Strategies and follows

Listed strategies. No strategy listed in the Wealthnow marketplace delivers signals to subscribers yet. Any performance shown for a listed strategy is a hypothetical backtest, prepared with the benefit of hindsight, and does not predict future results. Where a strategy’s description or results come from someone other than us, we say so, and we have not verified them unless we say we have.

Follows. You can pay to follow the disclosed holdings of a tracked fund (from its 13F filings) or the disclosed stock trades of a member of Congress, for $0.99 to $9.99 a month. A follow is built from public disclosures that can be weeks or months old. The return figures shown for a follow are hypothetical: they mostly apply the holdings disclosed today to past prices, so they are not results anyone achieved, including us, and they do not predict future results. The monthly price of a follow is set from those hypothetical figures.

Following a strategy, a fund, a member of Congress, or a model never gives us authority to trade for you. Every order still needs your approval of that specific order. We may remove a strategy or a follow, or restrict access to it, for legal, safety, or operational reasons.

07Alerts and notifications

We may send you alerts and notifications by email, push notification, or in the app, based on settings you choose or on criteria built into the Service. They depend on data feeds, networks, and your device settings, and they can be delayed or not delivered. Unless we tell you otherwise in writing, we do not promise to review your accounts continuously or to alert you to every event that could matter to you.

08Market data and other third-party content

The Service relies on market data, news, filings, fundamentals, and other content supplied by third parties. That content can be delayed, incomplete, inconsistent, or wrong. References to public figures, institutional filings, or community activity are not endorsements. Confirm important information with primary sources (your brokerage statement, official exchange feeds, issuer filings) before acting on it.

09Account, security, and acceptable use

Keep your sign-in details and devices secure. Tell us promptly at support@wealthnow.io if you suspect unauthorized access to your account.

You agree not to:

  • use the Service in violation of any law, regulation, exchange rule, or brokerage agreement;
  • engage in market manipulation, spoofing, layering, wash trading, or other abusive conduct;
  • scrape, mirror, resell, or redistribute the Service or protected content without our written consent;
  • interfere with the security or integrity of the Service, attempt to gain unauthorized access, or test for vulnerabilities outside the scope and rules of our responsible-disclosure policy;
  • present Service output to others as a guarantee of any result;
  • upload content you do not have the right to share;
  • use bots, scripts, or automated means in ways that burden the Service or bypass rate limits or access controls;
  • reverse engineer, decompile, or extract source code, except to the limited extent the law permits.

We may set usage, query, API, or storage limits for operational, security, or legal reasons. A material reduction of a paid feature follows the notice rules under “Changes to the Service and to these Terms.”

10Fees, credits, renewals, and cancellation

Who collects your fees. You pay through Stripe, by card or another payment method Stripe offers at checkout; we do not store your full card number. Today, fees are collected through Stripe by AMP FUEL LLC, the company that holds the Stripe account we use. We are moving billing to a Stripe account in the name of Tengu LLC, and we will update these Terms when that is done.

Plans. Some features require a paid plan. The price, the billing period, and any trial are shown before you pay. Paid plans renew automatically at the end of each billing period until you cancel. You can cancel at any time in Settings. When you cancel, your paid plan ends at the end of the period, and your account moves to the Free Plan. We do not currently refund the unused part of a period, except where the law requires a refund.

Usage credits. You may also buy prepaid usage credits for Alfred, the assistant, from $5 to $10,000 per purchase. Today credits are not used up: the app shows the assistant’s usage, but nothing is charged against your credits. We plan to charge usage above your plan’s included allowance against your credits, at rates shown in the app. This is not in place yet, and we will update these Terms before it starts. We have not yet set when unused credits expire or how they are refunded.

Marketplace subscriptions and follows. These are billed separately. If you cancel one billed by card, it stays active until the end of the period you paid for, then ends, and you are not charged again. If its last payment did not go through, it ends when you cancel it, and the unpaid amount is not charged. A free follow ends when you cancel it.

Price increases. We will not raise the price of your plan unless you accept the new price in the app. We will ask at least 30 days before the new price would apply, by email and in the app, and it applies only from a renewal after you accept.

11Your content and feedback

You keep ownership of the prompts, messages, watchlists, uploads, and other content you submit, to the extent you have rights in it. You give us a non-exclusive, worldwide, royalty-free license to host, reproduce, process, adapt, transmit, and display that content as needed to operate, secure, improve, and support the Service, as our Privacy Policy describes.

If you give us feedback or suggestions, we may use them without owing you anything. You agree that we may send you notices about the Service, your account, and these Terms electronically, by email and in the app.

12Intellectual property

The Service, including our software, brand, name, logos, design, text, visual assets, and any compiled datasets protected by law, is owned by Tengu LLC or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service under these Terms. All other rights are reserved.

13Your broker and other services you connect

Your broker, the connection services you use (such as Plaid and SnapTrade), and other third-party services have their own terms, which also apply to you.

14Our responsibility

We are responsible for our own acts and for the service providers we choose, to the extent the law makes us responsible. We are not responsible for losses caused by market movements when we have acted within your instructions and our duties, or by your broker’s acts, but that sentence does not limit any right described under “Your rights under the law.”

All investing involves risk, including the loss of all the money you invest. We do not guarantee any return or result. The Service depends on the internet, cloud providers, AI providers, data providers, connection services, and your broker, and any of them may fail, delay, or send wrong data.

15Your rights under the law

Nothing in these Terms, or in any document they incorporate, waives or limits any right you have under the federal securities laws or any state law, or any duty we owe you under those laws. No part of these Terms should be read to do so. You may contact the U.S. Securities and Exchange Commission or your state securities regulator at any time.

16Suspension and ending your account

You can stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms, if your use creates a security or legal risk for you, for other users, or for us, or if the law requires it. Where the law and security allow, we will tell you why.

The sections on our responsibility, your rights under the law, and governing law continue to apply after your account ends.

17Changes to the Service and to these Terms

Changes to the Service. We may add, change, or remove features. If we remove or materially reduce a feature of a paid plan, we will give you at least 30 days’ advance notice by email and in the app.

Changes to these Terms. We tell you about every change to these Terms in the app, and the top of this page shows a dated “What changed” summary that lists each change.

  • A change that reduces your rights or increases your fees takes effect for you only if you accept it in the app. We will give you at least 30 days’ notice before it would apply. If you do not accept it, you may cancel your plan.
  • Other changes take effect when we post them, with that notice and summary.
  • Changes the law requires may take effect sooner, with notice that says why.

We keep every earlier version of these Terms, with the dates it applied, and will send you a copy on request.

18Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by applicable federal law. Except for claims that qualify for small-claims court, disputes will be heard in the state or federal courts located in Delaware, unless applicable law gives you the right to bring your claim elsewhere. Nothing in these Terms, or in any document they incorporate, waives or limits any right you have under the federal securities laws or any state law, or any duty we owe you under those laws. Nothing in this section affects your right to file a complaint with the SEC or a state securities regulator.

19General terms

These Terms, together with the documents they incorporate (our Privacy Policy, Cookie Policy, and Disclosures), are the entire agreement between you and us about the Service, except that a separate investment advisory agreement, if you sign one, controls for the services it covers. If any part of these Terms is unenforceable, the rest stays in effect. A delay in enforcing a right is not a waiver of it. You may not transfer these Terms to someone else. We will not assign these Terms to another company without your consent.
